1. Introduction
Welcome to Marinehub. Marinehub is a registered business name of Oceanlab Systems Pty Ltd (ABN 11 675 449 144), an Australian company. References to "Marinehub", "the Platform", "the Website", "we", "us", or "our" in these Terms refer to Oceanlab Systems Pty Ltd trading as Marinehub.
Marinehub provides a platform for individuals seeking offshore contract work ("Contractors") to connect with companies and individuals seeking to hire contractors ("Clients" or "Companies"). By accessing or using Marinehub, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Services Overview
Marinehub provides a venue for Contractors and Clients to connect. Our services include:
- Contractor profiles with work history, certifications, and availability
- Job posting and application management for Clients
- Direct messaging between Contractors and Clients
- Review and rating system
- Talent pool and shortlist management
- Job alerts and notifications
- Certification tracking and expiry reminders
- Equipment Marketplace for buying and selling marine equipment
The Platform does not vet Contractors or Clients beyond basic email verification. We provide a venue for parties to connect but are not involved in the actual contractual relationships formed.
3. Platform Status — Not an Employer or Agency
Marinehub is a technology platform only. We provide software that enables Contractors and Clients to find each other and communicate. By using Marinehub, you acknowledge and agree to the following:
3.1 What Marinehub Is NOT
- NOT an employer — Marinehub does not employ any Contractors. We have no employment relationship with users of the platform.
- NOT a labour-hire provider — We do not supply, assign, or provide workers to Clients. We are not a labour-hire agency, staffing company, or workforce provider under any applicable legislation.
- NOT a recruitment agency — We do not recruit, screen, interview, or place candidates. We are not a recruiting firm or employment agency.
- NOT a contractor or subcontractor — Marinehub does not perform work for Clients or subcontract work to Contractors.
- NOT a party to any work arrangement — Any agreement between a Contractor and Client is solely between those parties. Marinehub is not a party to, and has no obligations under, any such agreement.
3.2 No Employment or Agency Relationship
Use of the Marinehub platform does not create any employment, agency, joint venture, partnership, or franchise relationship between:
- Marinehub and any Contractor
- Marinehub and any Client
- Any Contractor and any Client (unless they independently agree otherwise)
Contractors are independent professionals who use the Platform to market their services and find opportunities. Clients use the Platform to find and connect with Contractors. The nature of any relationship formed between a Contractor and Client is determined solely by those parties.
3.3 Contractor Independence
Contractors on Marinehub:
- Operate their own independent businesses or work as independent contractors
- Set their own rates, availability, and terms of engagement
- Are responsible for their own taxes, insurance, retirement accounts, and compliance obligations
- Choose which opportunities to pursue and which Clients to work with
- Are not controlled, directed, or supervised by Marinehub in any way
3.4 Client Responsibilities
Clients who engage Contractors found through Marinehub are solely responsible for:
- Determining the nature of their relationship with any Contractor (employee, contractor, etc.)
- Complying with all applicable employment, labour-hire, tax, and workplace laws
- Verifying Contractor qualifications, certifications, and right to work
- Providing appropriate insurance, safety equipment, and working conditions
- Making all required payments, deductions, and filings
- Ensuring proper contractual arrangements are in place before work commences
3.5 No Verification or Guarantees
Marinehub does not verify, guarantee, or warrant the accuracy of any information provided by users, including qualifications, certifications, work history, identity, or legal status. Clients must conduct their own due diligence before engaging any Contractor. Marinehub accepts no liability for any loss, damage, or claim arising from reliance on information provided through the Platform.
4. Acknowledgment and Acceptance
By creating an account, posting a job, applying for work, or otherwise using Marinehub, you expressly acknowledge and agree that:
- Marinehub is a technology platform only and not your employer, agent, labour-hire provider, or recruitment agency
- You are solely responsible for determining the nature of any working relationship you enter into with other users
- You will not make any claim against Marinehub based on an alleged employment, agency, or labour-hire relationship
- You have read and understood Section 3 ("Platform Status") above and agree to its terms
5. Equipment Marketplace
The Marinehub Equipment Marketplace allows users to list marine equipment for sale. This is a classified listing service only. By using the Equipment Marketplace, you acknowledge and agree to the following:
5.1 Marinehub's Role
- Marinehub provides a listing platform only and is not a party to any transaction between buyers and sellers
- We do not facilitate payments between buyers and sellers
- We do not handle, ship, or deliver any equipment
- We do not verify listings, equipment condition, ownership, or seller/buyer legitimacy
- We do not provide escrow, buyer protection, or payment guarantees
- We are not responsible for the quality, safety, legality, or availability of listed items
5.2 Seller Responsibilities
As a seller on the Equipment Marketplace, you agree to:
- Only list equipment you own or have legal authority to sell
- Provide accurate, truthful descriptions and images of equipment
- Disclose all known defects, damage, or issues
- Comply with all applicable laws regarding the sale of goods
- Comply with export control regulations where applicable (marine equipment may be subject to restrictions)
- Handle all taxes, duties, and regulatory requirements related to the sale
- Not list prohibited items including stolen goods, counterfeit items, or items that cannot be legally sold
- Respond to inquiries honestly and in good faith
5.3 Buyer Responsibilities
As a buyer on the Equipment Marketplace, you agree to:
- Conduct your own due diligence before purchasing
- Verify equipment condition, specifications, and authenticity independently
- Inspect equipment before payment where possible
- Understand that Marinehub provides no buyer protection or guarantees
- Arrange payment and collection/delivery directly with the seller
- Comply with all applicable import/export regulations
5.4 Listing Fees
- Sellers pay a one-time fee to list equipment for a specified duration (30, 60, or 90 days)
- Listing fees are non-refundable once payment is completed
- No additional commission or transaction fees are charged by Marinehub
- Sellers may remove listings at any time but will not receive a refund
5.5 Prohibited Conduct
The following are prohibited on the Equipment Marketplace:
- Listing items you do not own or have authority to sell
- Providing false, misleading, or fraudulent information
- Listing stolen, counterfeit, or illegally obtained equipment
- Listing hazardous materials without proper disclosure
- Price manipulation or bait-and-switch tactics
- Using the platform for money laundering or other illegal activities
- Harassing other users
5.6 Disputes Between Buyers and Sellers
Marinehub is not responsible for resolving disputes between buyers and sellers. All disputes regarding equipment condition, payment, delivery, or any other matter must be resolved directly between the parties. Marinehub may, at its sole discretion, remove listings or suspend accounts involved in disputes or fraudulent activity, but has no obligation to do so.
5.7 Limitation of Liability for Marketplace
To the maximum extent permitted by law, Marinehub shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of the Equipment Marketplace, including but not limited to: fraud, misrepresentation, non-delivery, defective equipment, personal injury, property damage, or any disputes between users. Users transact entirely at their own risk.
6. Account Registration
To use Marinehub, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your profile information remains accurate and up-to-date
You must be at least 18 years old to create an account. By registering, you represent that you have the legal capacity to enter into these Terms.
7. Contractor Accounts
Contractor accounts are free to create and use. As a Contractor, you may:
- Create and maintain a professional profile
- Upload certifications, qualifications, and work history
- Set your availability and rate expectations
- Apply for posted job opportunities
- Receive and respond to contract offers
- Communicate with potential Clients
- Receive reviews from Clients you have worked with
Marinehub will never take a percentage of your earnings or day rate. The platform remains free for Contractors.
8. Client/Company Accounts & Subscriptions
Client accounts require a paid subscription after an initial free trial period. Subscription terms include:
- Free Trial: New companies receive 3 months free access to evaluate the platform
- Billing: After the trial, subscriptions are billed monthly or annually
- Included Features: 3 job postings per month, unlimited applicants, unlimited team members, full search, messaging, and talent pool management
- Additional Job Postings: Extra active job slots may be purchased for an additional fee
- Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period
- Refunds: Subscription fees are non-refundable except where required by law
Payment processing is handled by Stripe. By subscribing, you also agree to Stripe's terms of service.
9. User Content
You retain ownership of content you submit to Marinehub, including profile information, job postings, messages, reviews, and uploaded documents. By submitting content, you grant Marinehub a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide our services.
You agree not to submit content that:
- Is false, misleading, or fraudulent
- Infringes on intellectual property rights
- Contains malware, viruses, or harmful code
- Is defamatory, obscene, or offensive
- Violates any applicable law or regulation
10. Reviews and Ratings
Marinehub allows Clients to leave reviews for Contractors and vice versa. When leaving a review, you agree to:
- Provide honest and accurate feedback based on actual experience
- Not submit fake, malicious, or retaliatory reviews
- Not offer or accept payment in exchange for reviews
- Not include personal attacks, discriminatory language, or threats
Marinehub reserves the right to remove reviews that violate these guidelines or our Terms of Service.
11. Messaging Conduct
When using our messaging feature, you agree to:
- Communicate professionally and respectfully
- Not send spam, solicitations, or unauthorized advertising
- Not harass, threaten, or discriminate against other users
- Not share illegal content or engage in fraudulent schemes
- Not attempt to circumvent the platform to avoid fees
12. Offers and Contracts
Any offer made by a Client and accepted by a Contractor through the Platform constitutes a negotiation between the parties. The Platform:
- Does not represent that offers form legally binding contracts
- Is not responsible for establishing, enforcing, or advising on contract terms
- Is not a party to any agreement between Contractors and Clients
- Does not guarantee payment, performance, or fulfillment of contracts
All agreements including work terms, payments, travel arrangements, and deadlines must be negotiated and agreed upon directly between the Client and Contractor.
13. Limitation of Liability
Marinehub is not involved in actual transactions between Contractors and Clients. We are not responsible or liable for issues arising from contractual relationships, including:
- Travel, transportation, or relocation for contract work
- Workplace injuries, accidents, or death during contract work
- Illness occurring during or related to contract work
- Non-payment, underpayment, or late payment
- Contract disputes, cancellations, or failures
- Misconduct, fraud, or misrepresentation by any user
- Accuracy of user profiles, certifications, or qualifications
In no event shall Marinehub be liable for any direct, indirect, punitive, incidental, or consequential damages arising from use of the Platform.
14. Account Suspension, Termination, and Removal
Marinehub reserves the absolute right to suspend, deactivate, or permanently delete any user account, profile, or content at our sole discretion, at any time, with or without notice, and for any reason or no reason. This includes, but is not limited to:
- Violation of these Terms of Service
- Fraudulent, illegal, or harmful conduct
- Multiple complaints from other users
- Providing false or misleading information
- Non-payment of subscription fees (for Client accounts)
- Extended periods of inactivity
- Spam, irrelevant, or low-quality profiles that do not align with the platform's purpose
- Accounts that appear to be bots, fake, or created for purposes other than genuine offshore contract work
- Profiles that are incomplete, misleading, or do not represent legitimate contractors or companies
- Any conduct that, in our sole judgment, is detrimental to the platform, its users, or its reputation
- Maintaining the quality, integrity, and relevance of the platform
We may also remove individual content, listings, reviews, or messages without removing the entire account. When an account is deactivated or terminated, we may retain certain data (such as reviews and ratings) to maintain platform integrity and prevent abuse.
By creating an account, you acknowledge and agree that Marinehub has no obligation to maintain your account or profile, and you waive any claims against Marinehub related to account suspension, deactivation, or deletion.
You may request deletion of your account at any time through your account settings or by contacting us directly.
15. Compliance with Laws
It is the responsibility of both Contractors and Clients to comply with all applicable local, state, national, and international laws, including those related to taxation, employment, immigration, and contracting. Marinehub assumes no responsibility for ensuring compliance with any legal obligations.
16. Dispute Resolution
Marinehub is not responsible for resolving disputes between Contractors and Clients. Any disputes must be resolved directly between the parties. We may, at our discretion, provide limited mediation assistance or suspend accounts involved in disputes.
17. Intellectual Property
The Marinehub name, logo, website design, and all related intellectual property are owned by Marinehub. You may not use our branding, trademarks, or copyrighted materials without prior written permission.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the courts of Australia.
19. Changes to Terms
Marinehub reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
